  • Your advice as participant might be edited, grouped or interpreted in various ways that you cannot control or anticipate. Once you submit your advice, you do not own it.
  • Your actions as a user are tracked and analyzed in order to operate the site, generate aggregative data and offer you to take part in or launch projects in the future.
  • Users can expect to receive emails and texts in response to actions of others or with regard to various events, as decided by owners and administrators or by Insights.US

GENERAL

This website is operated by Insights Inc. (the "Site Operator" or "Insights.US" or “Insights” or "We") for a person or an organization interested in getting advice from stakeholders (the "Site Owner"). The term "website" refers to this domain and any other domain, website or part of a website that is generated by the Site Operator, including Insights.US (the "Websites"). The term "users" refers to any persons using this website, directly or indirectly (the "Users" or "You"), including site owners and administrators.

Each website contains different calls for advice ("Projects"), and each project has a different community of stakeholders ("Participants"). Users authorized by site owners can launch new projects ("Project Owners", or "Owners" together with Site Owners), delegate their management privileges to other users ("Project Administrators") or define the users who will make decisions ("Decision Makers"). Projects might be open to everyone ("Public Projects") or restricted to selected users only ("Private Projects").

Websites include contents of different types, such as texts, documents, images, links, files, graphics, video and audio, code snippets and other materials ("Contents"). Our Privacy Policy explains the way we collect and use your content and information, and our Subscriber Agreement defines the rights & obligations of site owners. By visiting this website, as owner, administrator, participant or user, you agree to be bound by these Terms of Use, our Privacy Policy and our Subscriber Agreement ("Terms & Policies"). THINGS YOU SHOULD KNOW

REGISTERING TO A WEBSITE: You are allowed to register once with one email address only. Deliberately using another person's name that is not your own is prohibited by law as impersonation. Registration might link your personal information to earlier actions you've taken in the website, or to an existing personal information imported by owners or administrators to this website at an earlier stage. PUBLISHING YOUR ADVICE: As a participant, you should be aware that adding content to the website is not a guarantee of its publication. If owners, operators, administrators or participants notice content that does not promote the goals of a project or a website, they have the full and sole right to decide whether to publish, edit or delete the content. They can delete or change your content either directly or by reporting it as inappropriate.

LAUNCHING YOUR PROJECT: Once you are granted a license to launch a site or a project, you can only upload contents that you have the full rights to use. The content of public projects may be used, presented and replicated by Insights in other places. It will also be available to search engines and the public. As site owner, you bare the sole responsibility for any content that your selected project owners upload.

INSIGHTS CURATION: The process of turning advice into insights involves several stages and collaboration of different participants. ANY information you write may be edited, sorted, graded, suspended, deleted, approved, published, grouped or managed in different ways. Sometimes you may be required or allowed to participate in the analysis. Sometimes these processes can be completed without your involvement or even without your knowledge.

PUBLIC SPACE: Our websites are "public spaces". Once you have chosen to enter a website, we cannot guarantee your anonymity or your privacy. Therefore, any content you add is visible to others (even in a private project!), and may be modified or amended to turn it into insights. Any action on the site is visible and may be documented. As described in our Privacy Policy, we might reveal your personal information as well.

COMMUNICATION: You will receive updates, invitations and questions via emails or texts. These messages can be sent by using information you provided or by using information uploaded from other records. By registering, you declare that you are willing to receive such messages. You can revoke your permission by clicking on the link at the bottom of the e-mails or by emailing support@insights.us. When you unsubscribe, it will only apply to messages that were not yet sent and to the specific website you unsubscribed from.

IMPORT RECORDS: Owners and administrators can import information on users and send them messages inviting them to take part in a project. Users who upload data bear full responsibility for using the information, and hereby declare that the records were legally obtained, that they can legally send these messages and that they are solely responsible for doing so. Any breach of these terms or any complaint by users, once reported to Insights.US, would result in the immediate suspension of the website. WE WILL NOT TOLERATE SPAM, AND WILL PROMPTLY INVESTIGATE COMPLAINTS ABOUT INAPPROPRIATE USE.

POLICY VIOLATION. If a site owner believes that a certain activity on a website violates our terms & policies and/or does not promote the purpose of the site, s/he can prevent users from using the website, cancel registration or reveal users' personal information if necessary. Insights might also initiate such an action. Users should be aware that Insights.US has the sole discretion to do so, without any prior notice or explanation.

THINGS YOU CANNOT DO

This website provides a space for a constructive, respectful, insightful and inclusive process of decision-making. You are encouraged to add your advice, engage others, perform analytical tasks and stay informed when insights are curated and decisions are made. However, because this is a moderated site, there are things you cannot publish and there are things we will remove:

  • Abusive, vulgar, offensive, threatening or harassing language
  • Personal attacks of any kind, including racist or discriminative content
  • Private information pertaining to someone's identity or damaging any third party
  • Comments not relating to the project, or are otherwise off-topic
  • Advertisements or promotions of services or products or any political party, person campaigning for elected office, or any ballot proposition contents that violates intellectual property, including copyrights, trademarks, designs, patents, moral rights, trade secrets, etc. gratuitous links to other sites (which will viewed as spam)
  • Repeat posts (which will be viewed as spam)
  • illegal, inappropriate, or content that incites or encourages criminal acts
  • Content that violate the purpose of this website

There are some additional restrictions you must comply with:

  • Use of the site is personal and private to any user, whether it is an individual or an individual representing an organization. It is absolutely forbidden to open several user names for one user within the same website.
  • Attempts to manipulate the insights of a project will not be tolerated. Paid content, lobbyists' campaigns or any deliberate action that creates a false impression will be prevented and result in the exposure of its source.
  • You may not use the website to send any message that does not serve the purpose of the website and/or does not comply with our privacy policy.   • It is strictly forbidden to gain unauthorized access to the site's systems, run robots on it or collect information in a systematic way. You may not disassemble, decompile or reverse engineer the code, or assist anyone else to do so.

If users post inappropriate contents or we have the reason to believe you are involved in any breach of our terms & policies, we may prevent you from using the site, take a legal action, remove, edit, or delete the problematic content. COPYRIGHT AND INTELLECTUAL PROPERTY

PARTICIPANTS CONTENT. When participants add contents to the site, they give the operators, owners and administrators an irrevocable and unlimited authorization to use, reproduce, distribute, create by-products, translate, modify, market, or transfer the content, at their discretion, and in any channel or device. As this is a crowd-sourcing website, participants also give permission to other users to change, modify, edit, delete and prevent the publication of their content. When adding content, you consent that any change to your content will not harm your copyrights or moral rights nor those of the creator or other third parties.

SITE CONTENT. Copyright and intellectual property of the websites and their various components (such as design, methods, contents, registered and non-registered patents, code, texts, files, graphics, etc.) belong to Insights. Contents related to a specific site are owned by the site owner. It is strictly forbidden to distribute, copy, cut, market, display, modify, prepare or create by-products in any way and without the prior written consent of the site operators or owners, where applicable.

VIOLATION OF RIGHTS. When adding content to the site, you need to have the full rights, or alternatively the legal permission, to publish it. OUR RESPONSIBILITY

Insights.US will do its best to enable leaders to make better decisions based on the advice of their stakeholders. As Site Operators, we will pursue our mission statement. We will also invest every effort to make sure this website functions as planned and users and decision makers are not manipulated.

SECURITY. We will use industry standard technical and organizational security measures to keep your contents safe. We will observe security routines and set up relevant features within our code to guard our database against unauthorized or unlawful access to, use of or processing of information. Having said that, please be aware that the internet is a place where data is never fully protected. Do not add contents that might damage you.

CONTENTS. Most of the content on websites is written, edited or approved by users. The users creating the content bear sole and exclusive responsibility for the outcome that may result from publishing their contents. We cannot qualify contents or reflect its rightness, accuracy, quality and compliance with any law. Insights recommends that you treat the contents and the users critically and carefully.

SERVICES. We will do our best to keep the websites fully operational, but we cannot guarantee an error free service. It is possible that the services may be interrupted because of mistakes, the failure of servers, hackers, human errors, or because of damage, malfunctions or failures in hardware, software, or communication systems. In such situations, the available information may be incorrect or there will be no option for surfing.

SOFTWARE. We always develop and fix our software, and we will keep doing to provide you with the best service we can. However, our websites are provided on an "AS IS" and "AS AVAILABLE" basis, without any warranty of any kind, whether expressed or implied. Insights will not be responsible for any damage caused by using our software, whether you are a site owner, administrator or participant.

OTHER TERMS

CHILDREN, who have not yet reached the age of 16, cannot register the site without the consent of a parent or legal guardian. During the registration process, a parent or legal guardian must sit next to the minor to declare that he or she read, understood, and agreed to the Terms of Use; and to confirm that he or she will oversee the activities of the minor on the site. By registering on the site, the minor declares that such permission was given.

CHANGES TO THE SITE. We may remove, modify, block or impose restrictions on the site, at any time, without notice, including but not limited to the services; structure of the site; the existing content; and the management and media interfaces. It is not always possible to give a notice when we decide to make changes, which may cause malfunctions and delays on the site. You waive any claim or demand against the site owners, operators, administrators and licensors regarding any changes and/or failures.

You agree to defend, indemnify and hold harmless Insights, its consulting partners, marketing agents, distributors, licensors and their employees, contractors, officers and directors (“Affiliates”), from and against any and all claims, made by third parties, for damages, obligations, losses, liabilities, costs or expenses (including but not limited attorney's fees) arising from your use of and access to our websites.

LIMITATIONS OF LIABILITY. Our aggregate liability for all claims related to our websites shall not exceed the amount paid by you during the twelve (12) month period prior to the claim. This include Insights and its affiliates, in relation for any direct, indirect, punitive or consequential damages, including damages for loss of profits, goodwill, data or other intangible losses.

DISPUTE RESOLUTION. Prior to taking legal action, please email service@insights.us and let us try to resolve the issue in an informal manner. After 30 days, we hereby agree that any controversy or claim arising out of or relating to our websites shall be settled by arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules and the Supplementary Procedures for Consumer Related Disputes.

JURISDICTION. Our terms & policies are governed by the laws of the State of Maryland. They constitute the entire agreement between you and Insights. Any claim or demand against site operators, owners, licensors or administrators must be filed within six months after such claim or demand arose or they will be forever barred. If any term here is found to be unenforceable, other parts of our terms & policies will remain in full force and effect.

The consulting website is hosted on the Microsoft Azure cloud service provided by Microsoft Company. Microsoft Azure meets the ISO/IEC 27018 standard, which was developed by the International Organization for Standardization (ISO) to protect personal data stored in clouds.In addition, the consulting website uses applications by other service providers to communicate with users (via email or text, for instance) and for web traffic analysis. We have signed data processing agreements with these service providers in accordance with the GDPR.

DATA SUBJECT RIGHTS

If we are processing your data, you have certain rights with respect to your personal data in accordance with art. 15 et seq. GDPR. To exercise these rights, please contact the site owner or send an email to the site operator service@insights.us.

ACCESS: You can request more information about the personal data we hold about you. You can also request a copy of the personal data.

RECTIFICATION: If you believe that any personal data we are holding about you is incorrect or incomplete, you can request that we correct or supplement such data. ALLGEMEINES

Diese Datenschutzerklärung erläutert, welche Daten zu welchem Zweck beim Besuch und der Nutzung der digitalen Plattform („Webseite“) verarbeitet werden. Die digitale Plattform („Webseite“) wird von der Collective Insights UG (haftungsbeschränkt) - im Folgenden „Seitenbetreiber“ - im Auftrag des Auftraggebers („Seiteneigentümer“ die Angaben finden Sie unten) betrieben. Der Seiteneigentümer  (s.u.) ist „Verantwortlicher“ im Sinne der Datenschutz-Grundverordnung (DSGVO). Der Seiteneigentümer (s.u.) hat mit dem Seitenbetreiber einen Vertrag zur Auftragsverarbeitung gemäß Art. 28 DSGVO abgeschlossen.


Den Namen des Seiteneigentümers (s.u.) finden Sie unten in diesem Dokument. Die Kontaktdaten des Seiteneigentümers (s.u.) können über den dahinterliegenden Link aufgerufen werden. „Nutzer“ („Sie“) sind alle Personen, die die digitalen Plattform aufrufen und benutzen. „Administratoren“ sind alle Personen, die Administratorenrechte vom Seiteneigentümer (s.u.) für die digitale Plattform eingeräumt bekommen haben.

Dem Seiteneigentümer (s.u.) und Seitenbetreiber ist der Schutz Ihrer (personenbezogenen) Daten ein Anliegen. Es werden so wenig personenbezogene Daten wie möglich verarbeitet. Seiteneigentümer (s.u.) und Seitenbetreiber halten sich an die gesetzlichen Regelungen zum Datenschutz.

Die Bereitstellung der personenbezogenen Daten auf der Plattform erfolgt freiwillig. Sie sind nicht dazu verpflichtet, personenbezogene Daten bereitzustellen. Die Nichtbereitstellung hat keine rechtlichen Nachteile zur Folge. Eine Teilnahme kann auch ohne Registrierung bzw. Anmeldung erfolgen.

Sofern Sie ohne Registrierung bzw. Anmeldung (d.h. ohne das Anlegen eines Nutzerkontos) an der Umfrage teilnehmen, werden keine personenbezogenen Daten von Ihnen verarbeitet. Die Umfrage und Auswertung findet in diesem Fall ausschließlich anonym statt. Diese Datenschutzerklärung bezieht sich auf die personenbezogenen Daten, die beim Anlegen eines Nutzerkontos angegeben werden.

WANN UND WIE WERDEN DIE DATEN VERARBEITET

BEI DER REGISTRIERUNG: Wenn Sie sich auf der digitalen Plattform registrieren, müssen Sie eine gültige E-Mail-Adresse angeben und einen Benutzernamen wählen.

Grundlage für die Verarbeitung der Daten ist entsprechend Art. 6 Abs. 1 lit. a DSGVO.

Zweck: Durch die Profildaten kann ein Benutzerkonto für Sie angelegt und die Kommunikation im Rahmen dieser Beteiligungsumfrage ermöglicht werden. Die Profildaten erlauben es, Sie über den Verlauf von Konsultationen auf dem Laufenden zu halten und Sie über die Ergebnisse zu unterrichten. Der Seitenbetreiber kann die Profildaten nutzen, um Supportanfragen von Ihnen und anderen Nutzern nachzukommen.

Widerruf: Um die Einwilligung zur Verarbeitung Ihrer Daten zu widerrufen, wenden Sie sich an den Seiteneigentümer (s.u.) oder senden Sie eine E-Mail an den Seitenbetreiber (mail@collective-insights.com).


BEI BETEILIGUNG AN KONSULTATIONEN: Wenn Sie sich an Konsultationen auf der digitalen Plattform beteiligen, werden qualitativ-inhaltliche Daten, wie Ihre Antworten, Kommentare, Kernaussagen und Auswertungsergebnisse verarbeitet. Daraus werden durch die digitale Plattform system-generierte inhaltliche Daten, wie Ihr Einfluss auf die Entscheidung, Ihre Auswertungsleistung und Ihr Partizipationsgrad erstellt.

Grundlage für die Verarbeitung der Daten ist entsprechend Art. 6 Abs. 1 lit. a DSGVO.

Zweck: Die Verarbeitung der qualitativ-inhaltlichen Daten ermöglicht die Durchführung von Konsultationen. Ihre Antworten, Beiträge, Kommentare und Auswertungsleistung bilden das Herzstück der Konsultationen.

Widerruf: Sie können Ihre Beiträge, Antworten und Kommentare während der aktiven Beteiligungsphase löschen und bearbeiten. Alternativ wenden Sie sich an den Seiteneigentümer (s.u.) oder senden Sie eine E-Mail an den Seitenbetreiber (mail@collective-insights.com).

BEIM AUFRUFEN DER DIGITALEN PLATTFORM: Beim Aufruf der digitalen Plattform werden automatisch Informationen über Ihre Aktivitäten und über das verwendete Gerät verarbeitet (siehe dazu oben Nutzungs- und Kommunikationsdaten). Diese Daten werden in sogenannten Logfiles gespeichert und dienen dazu Aktivitäten, Prozesse und Zugriffe auf die digitale Plattform zu protokollieren.

Grundlage für die Verarbeitung der Daten ist entsprechend Art. 6 Abs. 1 lit. f DSGVO.

Zweck: Die Verarbeitung der Daten ist für den Betrieb und die Bereitstellung der digitalen Plattform zwingend notwendig. Darüber hinaus werden die Daten für statistische Auswertungen und zur Verbesserung der Technologie verwendet. Der Seiteneigentümer (s.u.) und Seitenbetreiber behalten es sich vor, die Logfiles nachträglich zu überprüfen, sollten konkrete Anhaltspunkte auf eine rechtswidrige Nutzung hinweisen. Diese Webseite enthält ggf. Verknüpfungen zu Webseiten von Dritten (externe Links). Diese Datenschutzerklärung bezieht sich ausschließlich auf diese Webseite. Seiteneigentümer (s.u.) und Seitenbetreiber haben keinen Einfluss darauf und kontrollieren nicht, ob Dritte und externe Anbieter den datenschutzrechtlichen Bestimmungen nachkommen.

Diese digitale Plattform verwendet keine Third-Party-Cookies. Es wird lediglich ein Cookie zur Authentifizierung nach der Registrierung verwendet. Dieser ist für den Betrieb der Anwendung unverzichtbar.

Diese digitale Plattform enthält ggf. Verknüpfungen zu Webseiten von Dritten (externe Links). Diese Datenschutzerklärung bezieht sich ausschließlich auf die digitale Plattform. Seiteneigentümer (s.u.) und Seitenbetreiber haben keinen Einfluss darauf und kontrollieren nicht, ob Dritte und externe Anbieter den datenschutzrechtlichen Bestimmungen nachkommen.

SICHTBARKEIT

Qualitative Daten (Antworten, Kommentare, Befürwortungen, Kernaussagen, Erkenntnisse) sind grundsätzlich für alle Personen, die die Webseite besuchen, sichtbar. Von den Profildaten sind lediglich die Benutzernamen sichtbar.

Suchmaschinen können diejenigen Inhalte und Daten suchen, finden und darstellen, die auch für alle Nutzer zugänglich sind.

Seiteneigentümer (s.u.) und Seitenbetreiber haben Zugang zu allen Inhalten und Daten. Außerdem haben Unterauftragnehmer (Mailgun und Microsoft, s.u.) Zugang zu bestimmten für die Erledigung ihrer Dienstleistung notwendigen Inhalten und Daten.

WEITERGABE und UNTERAUFTRAGNEHMER

Die Daten werden unter keinen Umständen an Dritte (die nicht Erfüllungsgehilfen sind oder im Auftrag des Seiteneigentümers (s.u.) oder des Seitenbetreibers Daten verarbeiten) weitergegeben oder zu kommerziellen oder anderen Zwecken veräußert.

Im Auftrag des Seiteneigentümers (s.u.) sowie des Seitenbetreibers sind folgende beauftragte Dritte im Rahmen der Auftragsverarbeitung mit Leistungen beauftragt:

  1. 1. Microsoft Company - Inhalt der Verarbeitung: Die digitale Plattform ist auf dem Clouddienst Microsoft Azure von Microsoft Company gehostet. Das Rechenzentrum steht in den Niederlanden. Microsoft Azure entspricht dem Standard ISO/IEC 27018; ein vielbeachteter, von der Nichtregierungsorganisation International Organization for Standardization (ISO) entwickelter Standard zum Schutz personenbezogener Daten in Clouds; Verarbeitete Daten: Profildaten, Kommunikationsdaten, qualitativ-inhaltliche Daten und system-generierte Daten.
  2. 2. Mailgun LLC – Inhalt der Verarbeitung: Kommunikation mit den Teilnehmenden, die ein Nutzerkonto angelegt haben; Verarbeitete Daten: Name und Email

Mit diesen Unterauftragnehmern sind entsprechende Auftragsverarbeitungsvereinbarungen gemäß Art. 28 DSGVO abgeschlossen. Sofern diese Unterauftragnehmer außerhalb des Gebiets der Europäischen Union (EU) registriert sind, ist die Angemessenheit des Datenschutzniveaus durch die EU-Kommission gemäß Art. 45 DSGVO festgestellt bzw. sind geeignete Garantien gemäß Art. 46 DSGVO (wie Abschluss europäischer Standardvertragsklauseln sowie Vereinbarung ergänzender Schutzmaßnahmen) vorgesehen.

Eine Offenlegung bzw. Weitergabe erfolgt nur, wenn dies zur Durchsetzung von Rechtsansprüchen des Seiteneigentümers (s.u.) und/oder des Seitenbetreibers erforderlich ist, insbesondere zur Durchsetzung von Ansprüchen aus dem Vertragsverhältnis mit Ihnen (siehe Nutzungsbedingungen/terms of use). Darüber hinaus geben Seiteneigentümer (s.u.) und Seitenbetreiber Daten an Dritte weiter, wenn sie dazu gesetzlich verpflichtet sind.

Die digitale Plattform ist auf dem Clouddienst Microsoft Azure von Microsoft Company gehostet. Microsoft und auch Mailgun unterliegen (auch) dem US-amerikanischen Recht. Aufgrund dessen kann nicht vollständig ausgeschlossen werden, dass US-Behörden Zugriff auf die dort gespeicherten Daten erhalten und diese damit auch in den USA ohne nach EU-Recht angemessenes Datenschutzniveau verarbeitet werden (z.B. zu Kontroll- oder Überwachungszwecken und ggf. ohne Rechtsbehelf). Dadurch können auch in der EU bestehende Betroffenenrechte eingeschränkt sein.

DATENAUFBEWAHRUNG

Ihre personenbezogenen Daten werden im Rahmen der gesetzlichen Bestimmungen maximal für die Dauer gespeichert, welche für die Erfüllung der in dieser Datenschutzerklärung genannten Verarbeitungszwecke (sofern eine Konsultation im Rahmen der Umfrage notwendig ist und Kontaktdaten angegeben wurden) nicht mehr erforderlich ist, es sei denn, die Aufbewahrung ist zur Erfüllung von rechtlichen Aufbewahrungspflichten weiterhin notwendig. In jedem Fall werden Ihre Daten nicht länger als erforderlich gespeichert.

SICHERHEIT

Der Seitenbetreiber setzt technische und organisatorische Sicherheitsmaßnahmen ein, um Ihre personenbezogenen Daten gegen zufällige oder vorsätzliche Manipulationen, Verlust, Zerstörung oder gegen den Zugriff unberechtigter Personen zu schützen. Aufgrund der Struktur und Natur des Internets können wir keine Garantie für die Sicherheit Ihrer Daten geben.

BETROFFENENRECHTE

Als von der Datenverarbeitung betroffene Person haben Sie gegenüber dem Verantwortlichen (Seiteneigentümer (s.u.)) gemäß Art. 15ff DSGVO Betroffenenrechte. Zur Wahrnehmung Ihrer Rechte wenden Sie sich bitte an den Seiteneigentümer (s.u.) oder senden Sie eine E-Mail an den Seitenbetreiber.

AUSKUNFT: Sie können vom Verantwortlichen mehr Informationen (u.a. Zweck, Datenkategorien und Dauer) über die verarbeiteten personenbezogenen Daten verlangen.

BERICHTIGUNG: Sie können vom Verantwortlichen verlangen, unvollständige und fehlerhafte personenbezogene Daten von Ihnen zu ergänzen und zu berichtigen. Ihre Profildaten können Sie jederzeit auch selbstständig in Ihrem Benutzerkonto verändern.

LÖSCHUNG: Sie können vom Verantwortlichen verlangen, dass einige oder all Ihre personenbezogenen Daten aus den Systemen gelöscht werden.

EINSCHRÄNKUNG BEI DER VERARBEITUNG: Sie können vom Verantwortlichen verlangen, die weitere Verarbeitung Ihrer personenbezogenen Daten einzuschränken.

PORTABILITÄT: Sie können vom Verantwortlichen verlangen, eine Kopie Ihrer personenbezogenen Daten in einem maschinenlesbaren Format zu erhalten. Sie können auch verlangen, dass Ihre Daten an eine andere Entität übermittelt werden sollen, wenn es technisch machbar ist.

WIDERRUF DER EINVERSTÄNDNIS: Wenn Ihre personenbezogenen Daten verarbeiten werden, haben Sie das Recht Ihr Einverständnis jederzeit zu widerrufen.

BESCHWERDE: Sie können bei einer mitgliedstaatlichen Aufsichtsbehörde Beschwerde einlegen, wenn Sie Zweifel an der Rechtmäßigkeit der Verarbeitung der Sie betreffenden personenbezogenen Daten haben.

Beispielsweise ist die zuständige Aufsichtsbehörde der Verantwortlichen die Berliner Beauftragte für Datenschutz und Informationsfreiheit, Friedrichstraße 219, 10969 Berlin. Daneben können Sie die Behördlichen Datenschutzbeauftragten der Verantwortlichen kontaktieren und Ihr Anliegen vorbringen.

This Subscriber Agreement enables you ("Site Owner" or "You") to use the software licensed by Insights Inc. ("Site Operator" or "We"), during a limited period of time ("License Period"). It defines your rights and obligations toward users and guests in a website ("Your Website"), which is derived and operated by using our code ("Software"). It also governs the additional consulting and support services you will receive from us ("Services").

This legal document is part of our binding terms & policies that includes our Terms of Use and Privacy Policy, all of which govern your use of our services ("Agreement"). By getting access to your website you accept this agreement, as an individual or if this website is operated for an organization, as an individual who has the power and authority to bind it.

1. OUR SERVICES

1.1 We grant you a limited, non-exclusive, revocable, non-transferable and non-sublicensable right to launch and use a website created and managed by our software.

1.2 A website will enable you to create a project, define a question, gather advice from stakeholders through different channels, make decisions and communicate with users.

1.3 We will host your website and all of its data, including user personal information, on our servers. However, you own the data, and this ownership is NEVER transferred to Insights.

1.4 Your license might be integrated with separate, limited consulting services to help you design your project, manage it, turn advice into insights and draft your decisions.

1.5 Our software is updated automatically, without a prior notice. We will do our best to provide you with the best experience, but we cannot guarantee 100% success.

1.6 We take industry standard technical and organizational security measures to store, process and transfer your data, and to protect it against unauthorized access.

1.7 Our consulting partners and project managers will do their best to assist you, but we can decide at any time that a reasonable support was given and no more work will be done.

1.8 We may modify, change, upgrade, suspend or terminate our services or some of them, in accordance with our Terms of Use.

1.9 Your license is given on an "AS IS" and “AS AVAILABLE” basis.

2. YOUR OBLIGATIONS

2.1 You commit yourself to use the website in a proper way, for the purpose of gathering stakeholder advice and integrating it into decisions, and in accordance with our binding terms & policies.

2.2 You declare that you have the legal authority to upload contents, use personal information and send messages to users, in accordance with all applicable regulations and rules.

2.3 For all legal purposes, YOU ARE THE SENDER and YOU ARE THE OWNER of any message, contact information and content. You will never approach users who did not give you an explicit permission to do that.

2.4 You will bear sole and full responsibility for any data offence related to your website, even if done so unintentionally by you or by project owners and administrators you appointed. Your responsibility cannot be shared, and you will compensate us for any cost that we will bear to protect this clause.

2.5 You understand that the internet is an open space and that our ability to protect sensitive information is limited. Even in private projects, users might share data with others. You will take full responsibility for any damages caused by the exposure of sensitive data.

2.6 You may not, directly or indirectly, modify, create derivative works of, sell, assign, lease, timeshare, rent, distribute, market, sublicense, transfer, decompile, reverse engineer or attempt to derive the source code of our software and services.

2.7 You have no license or rights in the human readable code of the software, and no right to patents, copyrights, trademarks, or any other rights that is not defined here.

3.1 As Site Owner, you are legally responsible for all project owners and administrators on your website (“Your Team”). You can appoint them, let them appoint others or remove their privileges. Once they are appointed, you bear the full responsibility for their actions, including any emails and  texts they send to others.

3.2 Owners and administrators (of sites and projects) have the ability to create projects, upload users, export information and manage all contents of their project or their website. As such, they are at-risk of making mistakes.

3.3 As the Site Owner, you are responsible for selecting owners and administrators. You are also responsible for guiding them on how to fulfill their role, making sure they comply with our terms & policies and maintain the confidentiality of their passwords.

3.4 We reserve the right to suspend accounts of owners and administrators who violate our terms & policies or use our websites in a way that might create any kind of risks for them, for you, for other users or for us.

3.5 You are liable for EVERY ACTION taken by you or by other owners or administrators on your website or one of the projects. You hereby commit to defend yourself in any court or in any procedure that might be taken following an action on behalf of your team. You will also indemnify Insights for any cost this might entail.

4. TERMS AND TERMINATION

4.1 Our services are licensed on a project-basis (one project over a period of no more than six months) or on a time-basis (a limited amount of projects running at any given moment). They might include a consulting service in addition to our software license, so that both terminate together.

4.2 The type of license you purchase will be stated when you subscribe. It shall start from the day you received your license details by email. In project-based license, your license expires once decisions are made. In time-based license, you won’t be able to launch new questions in the last 14 days of your subscription.

4.3 Once your license expires, we reserve the right to remove your website from the internet, delete its data or suspend it until a new license is purchased. Users will not be able to access your website. You can launch a new website at any stage by buying a new subscription.

4.4 We will bill you at the beginning of your subscription or on the renewal date. When you buy a license with consulting services, we will bill 50% when you log in and 50% when insights are submitted to you. We expect payments within thirty (30) days after an invoice is sent. Fees are non-refundable unless required by law.

4.5 In the event that you fail to make the payment due after the thirty (30) day notice period, Insights.US has the right to block access to your website. We reserve the right to also inform your users that the website is suspended due to a payment issue.

4.6 In the event that you ask to terminate our services we will not refund payments already made. We will adopt any future charges and remove your website. If you send us an explicit request, we will also delete your data forever. Your obligations under our terms & policies DO NOT expire after you terminate our services.

5. COPYRIGHTS & CONFIDENTIALITY

5.1 You own the full rights for all contents created in your website, and Insights owns the full rights for the website itself. All things that were created by owners, administrators or participants can be used, copied, replicated and published by you in any forum and for any purpose. You grant Insights a license to use them for the purposes defined in the Terms of Use, our Privacy Policy and this agreement.

5.2 The website is licensed, and not sold, to you. Insights.US and/or its third party licensors retain all intellectual property rights in the software, including updates, modifications, customizations and enhancements thereof. You understand that the structure, sequence, code, method and organization of our software are the valuable trade secrets of Insights, and constitute our confidential information.

5.3 In PUBLIC WEBSITES, which are open for every person and every web crawler, you grant us an irrevocable right to share contents on other websites, use them for marketing purposes or publish them on the internet or other media channels.

5.4 In PRIVATE WEBSITES, we will never share your contents, but we will generate aggregative data on the number of users, projects, actions and impact that is based on the contents. We might publish this data without revealing its source.

5.5 Unless you paid a fee for acquiring a license and defined your website as private, we reserve the right to include the name and logo of your organization in our list of clients, and advertise the outline of your project and its impact.

5.6 When you buy our consulting services, our consulting partner will be directly committed to your confidentiality, and will not disclose any information about your project, your concerns, your discussions or your insights and decisions.

6. SUPPORT & WARRANTY

6.1 SUPPORT. We are committed to the highest standards of service delivery. Please email bugs@insights.us if you find any error, bug or failure, and we will do our best to fix it within one business day, especially if your report concerns one of the key functions required to deliver the service. We might provide you with a fix, patch or workaround, or we might ask you to wait for our next version.

6.2 SOFTWARE WARRANTY. Having stated our commitment, no provision in this agreement shall imply that we provide any warranty to your website. We cannot guarantee that your website will always function, that there will be no bugs, that every error will be fixed, that users will do tasks or that you will get significant  insights.

6.3 “AS IS” RULE. Our software is provided on an “AS IS” and “AS AVAILABLE” basis, and Insights does not make any warranties, express or implied, that the website will meet your requirement or that it will be uninterrupted or error free. You acknowledge and agree that we can also not be responsible and cannot control any passing or transmission of information via the internet.

6.4 SERVICE WARRANTY. When you buy our service, one of our partners will work with you. However, we cannot guarantee that the insights curated by our partner will satisfy you or that the advice you get will be effective or useful for you. Aside from sending you the insights, we cannot warranty for your success.

6.5 FUTURE FEATURES. We are keen to get better! Please share with us on info@insights.us any advice you have on how our software can be improved.

7. INDEMNIFICATION

7.1 BY SITE OWNER. You agree to defend Insights and its affiliates against any third party claim arising from your use of the software if the claim concerns any violation of our terms & policies, whether this violation was committed or not. You will indemnify and compensate Insights for any damage, loss or expense incurred in relation to such claims, including but not limited to attorney’s fees.

7.2 BY INSIGHTS. Insights agrees to defend you against any third party claim that our services infringes copyrights or patent rights of others, and will pay any cost arising out of such a claim, provided we are given notice, assistance and sole authority to defend or settle such a claim. We share no liability if you violated our terms & policies or if the claim is not directly related to our website.

7.3 PROCEDURES. Both parties will provide prompt and early notice once the need for indemnification is starting to materialize. Parties will make all necessary effort to defend the claim. The indemnifying party will have full authority over the defense, unless the other party joins the defense at its own expense or the other party is required to admit liability or make any payment as part of a settlement.

8. OTHERS

8.1 PROPER USE. We expect you and the users on your website to use our software and  services properly and reasonably, for the purposes defined in our terms & policies. If we believe in good faith that Insights is being exploited or users are being manipulated, we will ask you as Site Owner for clarifications in fifteen (15) days and, after considering your reply, might suspend or terminate one or more of our services.

8.2 PUBLIC INFORMATION. You hereby declare that you have read and understood our privacy policy and terms of use; that you are aware that information cannot be fully protected; and that posting on the website is a point of “No Return”. You also understand that every user can share contents with others, even in private websites, and that public websites are totally open for anyone to see.

8.3 THIRD PARTY SOFTWARE. We may integrate software that was licensed from third parties, which may include open source software. Such software is subject to other terms and conditions. To the extent of any conflict between the terms, the Third Party Terms shall prevail in connection with the related software.  We do not and cannot make any warranty or indemnity with respect to this software.

8.4 HOSTING OUR SERVERS. As explained in our Privacy Policy, we host our data on Microsoft Azure servers. However, you are responsible to follow any other privacy laws and regulations in your country. You can always ask to install our service on your own servers, for an additional cost.

8.5 LIMITATION OF LIABILITY. Under no circumstances shall Insights or its partners, licensors, employees, agents, owners or any other affiliates be liable for any indirect, incidental, consequential or exemplary damages arising from the use of  our software, including loss of data or business. We are also not liable for any loss of data, business, revenues or goodwill, or for any damage resulting from having unauthorized access to our services. The aggregate liability of Insights and its affiliates under this agreement shall not exceed the amount you paid to us within the twelve (12) month period prior to the event resulting in our liability, assuming you haven’t violated our terms & policies.

8.6 US GOVERNMENT AGENCY. If you are a United States Government Agency, you agree that our software is a “commercial computer software”, pursuant to FAR 12.212 and/or DFARS 227.7202-3, as applicable. Your rights shall apply only to the specific agency and program for which our software is obtained. We will also not state or imply in our publications that you recommend or endorse Insights in any way, although we might show your name - as any other name - in our list of customers.

8.7 CONTRACTUAL RELATIONSHIPS. You acknowledge that your only engagement is with the Site Operator. This agreement does not create any contractual relationships between you and any of the affiliates, partners, licensors, owners or employees of the Site Operator. You will have no claims and no disputes with anyone except Insights.US.

8.8 SEVERABILITY. If any provision of our terms & policies is found to be invalid, illegal or unenforceable, the validity, legality and enforceability of all other provisions shall not in any way be affected or impaired, and a valid legal and enforceable provision of similar intent and economic impact shall be substituted.
